1. Purpose

These Terms of Service ("Terms") govern the conditions under which members access and use the Ark Academy online platform ("Service"), operated by Ark Intelligence Global, Inc. They cover accounts, program credits, live sessions (including group sessions), webinars, digital content and AI tools, coach intermediation, payments and refunds, and dispute resolution.

2. Contracting Party (Company Information)

  • Contracting Party: Ark Intelligence Global, Inc. (Delaware C Corporation, USA)

3. Definitions

  1. "Member": Any person who agrees to these Terms and creates an account (including parents and adult users).

  2. "Participant": The individual using the Service (may be a minor).

  3. "Legal Guardian": A parent or legally authorized representative of a child under age 14.

  4. "Program": Mini Marvels (MM), Young Innovators (YI), or Future Leaders (FL).

  5. "Program Credits":

  • MM Credits: redeemable for MM live sessions and MM-related Ark-provided content/webinars

  • YI Credits: redeemable for YI live sessions and YI-related Ark-provided content/webinars

  • FL Credits: redeemable for FL live sessions and FL-related Ark-provided content/webinars

  1. Credits are program-specific and cannot be converted, substituted, or combined across programs.

  2. "1 Session = 1 Credit": One credit is deducted per live session, webinar, or Company-designated content item attended or accessed. Eligible items are listed on the platform and at checkout.

  3. "Package": A bundled credit purchase with a defined validity window (e.g., 24 / 48 / 96 credits).

  4. "Credit Validity Period": Up to 1 year from the date of purchase. Unused credits expire at the end of the validity period unless otherwise required by applicable law or Company notice.

  5. "Service Commencement": The moment the Company delivers login credentials and platform access becomes available to the Member.

  6. "Digital Content": Videos, materials, templates, assignments, quizzes, reports, and other online resources provided through the platform.

  7. "AI Tools": Software features and third-party AI API integrations available within the Ark platform.

  8. "Coach": An independent provider (individual or entity) who facilitates live sessions and provides feedback. Coaches are not employees of the Company unless expressly stated.

  9. "Order Unit Rate (Refund Deduction Rate)": The per-credit rate displayed and stored on the payment screen and order receipt at the time of purchase. Refund calculations are always based on the rate stored in that specific order, regardless of subsequent price changes.

  10. "Hold": A Member-requested temporary suspension of credit usage and platform access.

4. Effectiveness and Amendments

  1. These Terms take effect when the Member agrees and completes registration or purchase.

  2. The Company may amend these Terms within the limits of applicable law, providing advance notice of the effective date and material changes.

  3. Continued use of the Service after the amended Terms take effect constitutes acceptance of the changes (unless separate consent is required).

5. Registration, Accounts, Age, and Parental Consent

  1. Members must register with accurate information and may not use another person's identity to register.

  2. Processing personal data of children under age 14, and their use of the Service, requires legal guardian consent.

  3. Sharing, transferring, or lending accounts is prohibited, except where expressly permitted under a separate Company transfer policy.

6. Service Components (Platform + Content/Tools + Credits + Intermediation)

The Company provides the following as part of the Service:

  1. Platform access (dashboard, assignments, reports, progress tracking, etc.)

  2. Digital content delivery

  3. AI tool functionality (platform-native features and third-party AI integrations)

  4. Credit-based access to live sessions, webinars, and Company-designated content

  5. Coach intermediation and operations (scheduling, attendance tracking, payment processing)

The specific scope of each product offering is governed by the product detail page and the checkout disclosure, which take precedence over these Terms in the event of conflict.

7. Credits and Packages (24 / 48 / 96)

7-1. Program-Specific Sale and Use

  • Credits are sold separately per program (MM / YI / FL) and cannot be converted or substituted across programs.

  • Credits may be redeemed for live sessions, webinars (including parent-facing webinars), and other Ark Academy-provided content and events designated by the Company.

  • The list of eligible content and events is published on the platform.

7-2. Deduction Rules (1 Session = 1 Credit)

One credit is deducted for each of the following:

  • Completion of a live session or webinar

  • No-show

  • Arriving 10 or more minutes late

  • Use of any other Company-designated credit-eligible content

Credits are deducted based on session reservation and seat allocation, not individual participation. Because Ark Academy operates as a group project-based learning (PBL) experience, a reserved seat affects the group's composition and coach preparation regardless of whether the individual attends or participates. Accordingly, credits are deducted for all events listed above, irrespective of the reason for non-attendance or non-participation.

7-3. Validity Period and Expiration

  • Packages are valid for up to 1 year from the date of purchase.

  • Unused credits expire at the end of the validity period and may be forfeited, except where required otherwise by applicable law or Company notice.

7-4. Hold Policy

  • Members may request to place their account on Hold.

  • During a Hold, all platform access is suspended, including live sessions, webinars, digital content, and AI tools.

  • Maximum cumulative Hold duration: 1 year.

  • Grace Period: After a Hold ends, the Member must wait 3 months before requesting another Hold.

  • Treatment of the credit validity period during a Hold (paused or continued) is governed by the checkout disclosure and operating policy.

  • Hold requests and cancellations must be submitted via [Support Contact].

8. Live Sessions (Including Group) and Webinars

8-1. Schedule, Capacity, and Level

  • Session and webinar schedules, capacity limits, levels, and preparation requirements are published on the platform.

  • Operational changes may occur; material changes will be communicated in advance.

8-2. Attendance and No-Shows

No exceptions to the no-show or late-arrival policy are granted. This applies regardless of reason, as the group learning experience is affected by absence, irrespective of cause.

  • Attendance and no-show standards follow Section 7-2 (Deduction Rules).

  • No exceptions to the no-show policy are granted.

8-3. Recording and Logging (Where Applicable)

  • Sessions may be recorded or logged for quality improvement and dispute resolution purposes.

  • Data collected, its purpose, and retention period are governed by the Privacy Policy and applicable notices.

9. Digital Content and AI Tools

9-1. Service Commencement

  • Upon delivery of login credentials (Service Commencement), access to digital content and AI tools may begin.

  • Access to digital content and AI tools is suspended during any Hold period.

9-2. Third-Party Services

  • Some features depend on third-party AI services (APIs/models) and may be temporarily limited due to outages, policy changes, or capacity restrictions.

9-3. Limitations of AI Output

  • AI-generated outputs are probabilistic and the Company does not guarantee their accuracy or completeness.

  • Do not rely solely on AI outputs for important decisions.

9-4. Prohibited Activities

  • Account sharing or lending, automated bulk requests, scraping, reverse engineering, unauthorized reproduction, copyright infringement, and malicious activity are all prohibited.

10. Coach Intermediation and Liability

10-1. Company Role

  • The Company operates a platform that connects Coaches with Participants and supports scheduling, payment processing, and content delivery.

10-2. Coach Role

  • Coaches facilitate sessions and provide feedback. They do not guarantee specific outcomes for individual Participants.

10-3. Safety and Code of Conduct

  • Harassment, discrimination, hate speech, sexual remarks, solicitation of private contact, and off-platform transactions are grounds for immediate suspension.

11. Payment, Pricing, and Receipts

  1. Payments are processed through the Company's designated payment gateway (PG).

  2. Prices are subject to change; the final applicable amount is shown at checkout.

  3. The Order Unit Rate (Refund Deduction Rate) is disclosed at the time of payment and stored in the order record/receipt.

12. Refunds and Cancellation

Refunds and cancellations are governed by the separate Ark Academy Refund Policy. In the event of any conflict between these Terms and the Refund Policy, the standard more favorable to the consumer applies.

13. Intellectual Property

  1. All rights in the platform, content, and materials provided by the Company vest in the Company or the respective rights holder.

  2. Members may use content only within the scope of Service use; unauthorized reproduction, distribution, or sharing is prohibited.

  3. Rights in materials uploaded by Members remain with the Member; however, the Company may use such materials to the extent necessary to provide and improve the Service (personal data governed by the Privacy Policy).

14. Service Restrictions and Termination

The Company may restrict access or terminate a Member's account, with prior notice (or immediately in urgent cases), for the following reasons:

  • Fraudulent payment or refund abuse

  • Account sharing or unauthorized use

  • Abusive conduct, harassment, or safety violations

  • Copyright infringement or security threats

15. Limitation of Liability

Except in cases of the Company's willful misconduct or gross negligence, the Company's liability for indirect or consequential damages is limited to the extent permitted by applicable consumer protection law.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Korea. Disputes shall be subject to the exclusive jurisdiction of the Seoul Central District Court, except where mandatory consumer protection provisions require otherwise.
